Services: Workouts & Restructures
WE OFFER WORKOUT AND RESTRUCTURE SERVICES at the company-wide, individual
property and single asset financing levels. Such services include the
following:
- Advisory or Exclusive Representation – according to client needs,
we can provide advisory services or act as the client’s exclusive
representative in connection with workouts or restructures of individual
or pools of assets or loans, or a comprehensive restructuring of
your company’s indebtedness outside of bankruptcy.
- Strategic Evaluation and Development
of Action Plans – working with the client, we perform a comprehensive
review of all pertinent assets, loans, and company-related issues.
This process would include, but not be limited to the following:
(i.) analysis of the subject property or properties; (ii.) evaluation
of the terms, structure, and ongoing feasibility of the applicable
indebtedness; (iii.) review of legal documentation pertaining to
the property, title, insurance, construction contracts, loan transaction,
leases, etc.; (iv.) evaluation of litigation risk/potential; (v.)
assessment of the lender or lenders involved and potential for and
appropriateness of types of modifications or restructures (e.g. standstills;
extensions of maturity dates; discounted payoffs; restructure with
new security and/or principal paydowns; deeds-in-lieu, etc.); (vi.)
consideration of other constituencies such as other lenders, partners,
shareholders, contractors or mechanics lienholders (if under construction),
etc.; (vii.) consideration of on-going viability of the company and
other problem properties and loans that may negatively impact survivability
and ability to service debt; and (viii.) development of recommended
action plans for the applicable properties, loans or company as a
whole.
- Complex Restructurings -- We can also provide services in connection
with large or complicated restructures involving nationwide scope,
multiple property types, multi-bank lending groups, commercial mortgage-backed
securities, and tax-sensitive transactions.
